Terms of service
OVERVIEW
Welcome to MarkNature.
This website is operated by MarkNature. Throughout the site, the terms "we," "us," and "our" refer to MarkNature and, where applicable, the legal entity identified in the relevant order confirmation, invoice, or commercial agreement.
MarkNature is a supplier of specialty ingredients, functional raw materials, and chemical products for food and beverage, nutraceutical, pharmaceutical, cosmetic, agricultural, animal nutrition, industrial, and research applications.
We offer a broad range of products, including amino acids, natural extracts, enzymes, microorganisms, biostimulants, polymers, surfactants, minerals, nanomaterials, and specialty chemicals.
Our services include online product sales, sample supply, bulk purchasing, product sourcing, technical documentation, and international order fulfillment.
By accessing our website, purchasing products, or using our services, you agree to comply with these Terms of Service ("Terms"), together with our Privacy Policy, Shipping Policy, Refund Policy, and other applicable policies.
Please read these Terms carefully before using our website or placing an order.
Our online store is hosted by Shopify Inc., which provides the e-commerce platform through which we offer our products and services.
SECTION 1 – ELIGIBILITY AND ACCEPTANCE OF TERMS
By using this website or purchasing products from MarkNature, you confirm that:
-
You are at least the age of majority in your jurisdiction.
-
You have the legal authority to enter into purchasing agreements.
-
You will use our products and services only for lawful purposes.
-
You will comply with applicable laws and regulations governing the purchase, importation, handling, storage, and use of our products.
Business customers purchasing on behalf of an organization represent that they are authorized to act on behalf of that organization.
We reserve the right to refuse or cancel orders where required by law or where reasonable concerns arise regarding compliance, payment security, or product misuse.
SECTION 2 – PRODUCTS AND INTENDED APPLICATIONS
MarkNature supplies ingredients, raw materials, and specialty chemicals for a wide range of commercial, industrial, and research applications.
Products may be offered in different grades, including:
-
Food Grade
-
Feed Grade
-
Cosmetic Grade
-
Pharmaceutical Grade
-
Agriculture Grade
-
Technical Grade
-
Industrial Grade
-
Research or Laboratory Grade
Product grade and intended application are determined by the specifications and documentation applicable to each individual product.
A product listed for one application must not automatically be considered suitable for another application.
For example, a technical-grade material should not be used in food, dietary supplements, cosmetics, or pharmaceutical products unless its suitability and regulatory compliance have been independently established.
Customers are responsible for determining whether a product is appropriate for their intended formulation, manufacturing process, or end-use application.
MarkNature does not represent that every product is approved for every market, jurisdiction, or application.
SECTION 3 – PRODUCT INFORMATION AND TECHNICAL DOCUMENTATION
We make reasonable efforts to provide accurate product descriptions, specifications, and supporting technical information.
Depending on the product and availability, documentation may include:
-
Technical Data Sheets (TDS)
-
Certificates of Analysis (COA)
-
Safety Data Sheets (SDS/MSDS)
-
Product specifications
-
Allergen statements
-
GMO status statements
-
Origin information
-
Other relevant technical or regulatory documentation
Product specifications, analytical results, and technical information may vary by manufacturer, grade, production batch, or testing method.
A typical COA or specification sheet represents the stated reference material or specification and should not be interpreted as a batch-specific certificate unless expressly identified as such.
Where batch-specific documentation is required, customers should request confirmation before placing an order.
Technical information is provided to assist customers with product evaluation and does not replace independent testing, regulatory assessment, or professional technical advice.
We reserve the right to update product information when new technical data or supplier information becomes available.
SECTION 4 – PRODUCT EVALUATION AND CUSTOMER RESPONSIBILITIES
Many products supplied by MarkNature are intended for further processing, formulation, manufacturing, or research rather than direct consumer use.
Customers are responsible for:
-
Evaluating product suitability for their intended applications.
-
Conducting appropriate laboratory testing, stability testing, and compatibility assessments.
-
Determining appropriate dosage, formulation, processing, and storage conditions.
-
Ensuring compliance with applicable product registration, labeling, safety, and regulatory requirements.
-
Implementing appropriate handling and workplace safety procedures.
For food, dietary supplement, pharmaceutical, cosmetic, agricultural, and animal feed applications, customers must independently confirm compliance with the regulations applicable to their intended markets.
Any application examples or technical suggestions provided by MarkNature are for informational purposes and do not constitute a guarantee of performance, regulatory approval, or fitness for a particular purpose.
SECTION 5 – PRODUCT SAMPLES AND TRIAL ORDERS
MarkNature may offer samples and small trial quantities for product evaluation, formulation development, quality testing, or research purposes.
Sample availability, pricing, shipping arrangements, and documentation depend on the product and order requirements.
Unless otherwise agreed in writing:
-
Samples are provided for evaluation purposes.
-
Sample performance does not guarantee identical results under different processing or application conditions.
-
Customers should evaluate samples before committing to commercial-scale purchases.
-
Sample fees and shipping charges may apply.
-
Any sample-fee credit toward a future bulk purchase requires prior written agreement.
For bulk orders requiring pre-shipment sample approval, the applicable sampling procedure, acceptance criteria, and shipment authorization should be confirmed in writing.
Approval of a pre-shipment sample does not waive any expressly agreed batch specifications or quality obligations.
SECTION 6 – PRODUCT AVAILABILITY AND ORDER ACCEPTANCE
Products displayed on our website may be available from different warehouses, manufacturing facilities, or supply partners.
Website availability does not necessarily indicate immediate local inventory or guaranteed dispatch dates.
Certain products may require additional preparation, manufacturing, repackaging, documentation, or international transportation.
All orders are subject to acceptance, availability, and applicable compliance checks.
An automated order acknowledgment does not necessarily constitute final acceptance of an order.
If an ordered product becomes unavailable, we will contact the customer to discuss a replacement, revised delivery schedule, or refund, as appropriate.
We reserve the right to limit quantities, discontinue products, or decline orders where reasonably necessary.
SECTION 7 – PRICING, QUOTATIONS, AND BULK ORDERS
Product prices displayed on the website are subject to change without prior notice.
Online prices generally apply to the specified product grade, package size, and purchasing conditions.
For larger quantities, customized specifications, or commercial-scale purchases, customers may request a separate quotation.
Bulk quotations may depend on:
-
Product specifications and grade
-
Order quantity
-
Packaging requirements
-
Manufacturing availability
-
Shipping destination
-
Transportation costs
-
Customs duties and applicable taxes
-
Currency fluctuations
-
Agreed delivery terms
Unless otherwise stated, quotations are valid only for the period specified in the quotation.
A formal quotation, Proforma Invoice (PI), Purchase Order (PO) accepted by MarkNature, or separately executed sales agreement may establish additional transaction-specific conditions.
Where a separately agreed written commercial contract expressly conflicts with these Terms, the specific provisions of that contract will govern the relevant transaction.
SECTION 8 – PAYMENT TERMS
Payment methods available through our website may include credit cards, supported electronic payment services, and other payment methods displayed at checkout.
For offline or bulk commercial transactions, payment may be arranged through bank transfer or other mutually agreed methods.
Unless otherwise agreed in writing, payment must be received and verified before an order is released for shipment.
Additional payment terms may apply to established commercial customers subject to written approval.
Customers are responsible for ensuring that payment information and remittance details are accurate.
Bank charges, intermediary bank fees, currency conversion costs, and other payment-related charges are allocated according to the agreed payment terms.
MarkNature may suspend order processing or shipment until the required payment has been received.
SECTION 9 – SHIPPING AND INTERNATIONAL DELIVERY
MarkNature supplies products to customers in different countries and regions, subject to product availability, transportation restrictions, and applicable import regulations.
Orders may be shipped from warehouses or manufacturing facilities in different locations, including Asia.
Shipping methods may include international express courier, air freight, sea freight, or other suitable logistics arrangements.
Estimated delivery times are provided for reference and are not guaranteed unless expressly agreed in writing.
Delivery may be affected by customs inspections, carrier delays, weather, regulatory requirements, transportation disruptions, or other circumstances beyond our reasonable control.
For international commercial orders, delivery responsibilities will be determined by the agreed shipping terms, which may include EXW, FOB, CIF, DAP, DDP, or other Incoterms® 2020 rules.
The applicable Incoterm, named place, and any agreed modifications should be identified in the quotation, invoice, or commercial agreement.
Unless DDP or another arrangement expressly assigns import-related costs and obligations to MarkNature, customers are responsible for applicable import duties, taxes, permits, customs requirements, and clearance charges.
Under DDP arrangements, the parties will cooperate in providing the documentation and importer information required for lawful customs clearance.
Any use of the customer's customs bond, importer registration, or importer-of-record status must be agreed and handled in accordance with applicable customs regulations.
SECTION 10 – IMPORT, EXPORT, AND REGULATORY COMPLIANCE
Customers are responsible for confirming that products may legally be imported, distributed, processed, or used in their destination country and intended application.
Certain products may be subject to restrictions, registrations, permits, special labeling, or other regulatory requirements.
MarkNature may request additional information regarding the intended application, destination, or end user where reasonably necessary for compliance.
We reserve the right to decline or suspend transactions that may violate applicable import, export, sanctions, product safety, or other legal requirements.
No product description, grade designation, or technical document should be interpreted as a guarantee of regulatory approval in any specific jurisdiction.
SECTION 11 – PRODUCT QUALITY AND SPECIFICATIONS
MarkNature aims to supply products consistent with the specifications expressly agreed for each order.
Product quality requirements may be established through the applicable product specification, batch COA, purchase agreement, or other written confirmation.
Customers should review the relevant documentation before using the material in production or formulation.
Variations in color, odor, particle size, appearance, or other characteristics may occur between batches where such variations remain within the agreed specifications.
If a customer requires particular analytical methods, impurity limits, microbiological standards, or other quality parameters, these requirements must be communicated and accepted before order confirmation.
We do not guarantee suitability for applications or specifications that have not been expressly agreed.
SECTION 12 – RECEIVING INSPECTION AND QUALITY CLAIMS
Customers should inspect shipments promptly upon receipt.
Any visible shipping damage, missing packages, or delivery discrepancies should be reported as soon as reasonably possible, preferably within seven calendar days after delivery.
For suspected product quality issues, customers should contact MarkNature promptly after discovery and provide relevant supporting information, including:
-
Order or invoice number
-
Product name and batch or lot number
-
Description of the reported issue
-
Photographs, where relevant
-
Test reports or analytical results, where available
-
Storage and handling information, where relevant
MarkNature may request additional information or retained samples to investigate a reported quality concern.
Where necessary, the parties may agree to testing by a qualified independent laboratory.
Claims will be evaluated based on the agreed product specifications, available evidence, and applicable law.
Reporting timeframes do not limit rights that cannot lawfully be excluded or restricted.
SECTION 13 – RETURNS, REFUNDS, AND REPLACEMENTS
Due to the nature of specialty ingredients, raw materials, microorganisms, and chemical products, certain items may not be eligible for return after delivery.
This may include opened products, temperature-sensitive materials, customized products, special-order items, and products that cannot be safely resold or requalified.
Returns must be authorized by MarkNature before products are shipped back.
If a product is confirmed to be defective, incorrectly supplied, or materially inconsistent with the agreed specifications, MarkNature will provide an appropriate remedy, which may include replacement, refund, or another mutually agreed resolution, subject to applicable law.
Returns requested for reasons unrelated to product defects may be subject to approval and applicable restocking or shipping charges.
For further information, please refer to our Refund Policy.
Nothing in this section limits any non-waivable statutory rights.
SECTION 14 – STORAGE, HANDLING, AND PRODUCT SAFETY
Customers must store, handle, transport, and use products in accordance with the applicable technical and safety documentation.
Special attention may be required for products that are:
-
Hygroscopic or moisture-sensitive
-
Temperature-sensitive
-
Light-sensitive
-
Biologically active
-
Chemically reactive
-
Classified as hazardous materials
Customers are responsible for maintaining appropriate storage conditions after delivery and for implementing relevant safety procedures.
MarkNature is not responsible for product deterioration caused by improper storage, handling, contamination, or unauthorized modification after the applicable transfer of responsibility, except to the extent otherwise required by law or expressly agreed.
SECTION 15 – INTELLECTUAL PROPERTY
All website content, including text, images, graphics, logos, product descriptions, and other original materials, is owned by or licensed to MarkNature unless otherwise indicated.
You may not reproduce, distribute, modify, or commercially exploit our website content without prior written permission, except as permitted by applicable law.
Product names, trademarks, and third-party brands remain the property of their respective owners.
SECTION 16 – THIRD-PARTY SERVICES AND LINKS
Our website may contain links to third-party websites or use third-party services, including payment processors, shipping providers, and e-commerce applications.
These services may be governed by separate terms and privacy policies.
MarkNature is not responsible for the content, policies, or independent operations of third-party websites or service providers, except as required by applicable law.
Customers should review the relevant terms before using third-party services.
SECTION 17 – CUSTOMER INFORMATION AND PRIVACY
Customers agree to provide accurate and complete information necessary for order processing, payment verification, shipping, customs clearance, and customer support.
Personal information collected through our website is handled in accordance with our Privacy Policy.
We may share necessary order and shipping information with payment processors, logistics providers, customs agents, and other service providers involved in fulfilling transactions, subject to applicable privacy requirements.
Please refer to our Privacy Policy for further information.
SECTION 18 – PROHIBITED USES
You may not use our website, products, or services:
-
For unlawful or unauthorized activities.
-
In violation of applicable import, export, or product safety regulations.
-
To provide false or misleading purchasing or end-use information.
-
To infringe intellectual property rights.
-
To transmit malware or interfere with website security.
-
To engage in fraudulent transactions.
-
To obtain products for prohibited end uses or restricted parties.
We may suspend or terminate access to our services where a material violation occurs or where necessary to comply with applicable law.
SECTION 19 – DISCLAIMER OF WARRANTIES
We make reasonable efforts to maintain accurate website information and reliable service.
However, website content and online services are provided on an "as available" basis.
Except for warranties expressly stated in an accepted order, written specification, or applicable commercial agreement, and to the extent permitted by law, MarkNature disclaims implied warranties that may otherwise apply.
Nothing in these Terms excludes an express product quality commitment, a non-waivable statutory warranty, or any liability that cannot legally be excluded.
Customers remain responsible for independently determining whether products are suitable for their specific applications.
SECTION 20 – LIMITATION OF LIABILITY
To the maximum extent permitted by applicable law, MarkNature will not be liable for indirect, incidental, special, or consequential losses, including loss of profit, loss of business opportunity, or production interruption, arising from the use of our website, services, or products.
For claims arising from a particular product order, MarkNature's aggregate contractual liability will generally not exceed the amount paid for the affected products, except where a different limitation is expressly agreed in writing or where applicable law prohibits such a limitation.
This limitation does not apply to liability that cannot lawfully be excluded or limited, including liability arising from fraud or other legally non-excludable conduct.
Nothing in these Terms restricts remedies expressly agreed in a separate commercial contract.
SECTION 21 – INDEMNIFICATION
To the extent permitted by applicable law, customers agree to indemnify MarkNature against third-party claims, damages, and reasonable expenses arising from:
-
Unlawful use or resale of products.
-
Material breaches of these Terms.
-
Unauthorized product claims or representations made by the customer.
-
Improper handling, formulation, labeling, or use of products by the customer.
-
Violations of applicable laws or third-party rights.
This obligation does not apply to the extent a claim results from MarkNature's own breach, negligence, misconduct, or other liability that cannot legally be excluded.
SECTION 22 – FORCE MAJEURE
Neither party will be responsible for delays or failures in performing obligations, other than payment obligations already due, to the extent caused by events beyond its reasonable control.
Such events may include natural disasters, epidemics, wars, government restrictions, transportation disruptions, labor disputes, or major supply chain interruptions.
The affected party should notify the other party within a reasonable time and take commercially reasonable steps to minimize disruption.
If a force majeure event continues for an extended period, the parties may discuss revised delivery arrangements or cancellation of the affected unfulfilled portion of the order, subject to applicable law and any separate agreement.
SECTION 23 – CHANGES TO PRODUCTS AND SERVICES
We may update, modify, or discontinue products, website features, or services from time to time.
Changes to product listings or general website policies will not automatically modify the expressly agreed specifications, pricing, or other binding terms of an already accepted order.
We reserve the right to correct typographical errors, inaccurate descriptions, and pricing mistakes, subject to applicable consumer protection and contract laws.
SECTION 24 – SEVERABILITY
If any provision of these Terms is determined to be invalid, unlawful, or unenforceable, the remaining provisions will continue in effect to the extent permitted by applicable law.
SECTION 25 – TERMINATION
We may suspend or terminate access to our website or services in cases of material breach, fraud, unlawful activity, or other legitimate reasons consistent with applicable law.
Termination does not affect payment obligations, accrued rights, or other provisions intended to survive termination.
SECTION 26 – ENTIRE AGREEMENT
These Terms, together with applicable website policies and any expressly accepted order-specific terms, govern the use of our website and services.
For commercial transactions governed by a separately executed written agreement, the provisions of that agreement will take precedence in the event of a direct conflict.
SECTION 27 – DISPUTE RESOLUTION
In the event of any dispute arising from the use of our website, products, or services, the parties agree to first seek an amicable resolution through good-faith negotiations.
Any unresolved disputes shall be handled in accordance with applicable laws and any separately agreed written commercial terms.
SECTION 28 – CHANGES TO TERMS OF SERVICE
We may update these Terms from time to time to reflect changes in our operations, products, services, or legal requirements.
Updated Terms will be published on this page with a revised effective date.
Changes will apply prospectively unless otherwise required by law or expressly agreed.
Continued use of the website after the effective date of revised Terms constitutes acceptance to the extent permitted by applicable law.
